Terms of Service

These Terms of Service ("Terms") govern your access to and use of Gullak Lite (the "Service"), a bookkeeping and GST invoicing application operated by Purarama Technologies Pvt Ltd ("we", "us", "our"), a company registered in Bengaluru, Karnataka, India. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

In these Terms, unless the context requires otherwise:

• "Service" means the Gullak Lite platform, including its website, application, features, and related tools for bookkeeping and GST invoicing.
• "User" (also "you", "your") means any person or business that accesses or uses the Service.
• "Subscription" means a paid plan that provides access to certain features of the Service on a recurring basis.
• "Personal Data" means any data about an identifiable individual, as defined under the Digital Personal Data Protection Act, 2023 and the rules framed thereunder.
• "GST" means the Goods and Services Tax levied under applicable Indian law.
• "Content" means the data, invoices, records, and information you enter into or generate through the Service.

2. Who can use Gullak Lite

You must be at least 18 years old and capable of entering into a binding contract. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms.

3. Your account

You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at hello@purarama.com if you suspect unauthorised access. You are responsible for the accuracy of the data you enter, including invoice details, GSTINs, and financial records.

We shall not be responsible or liable for any loss, damage, unauthorised transaction, or unauthorised access arising from your failure to maintain the confidentiality of your login credentials. The security of your account depends on you keeping your credentials private and secure.

4. The Service

Gullak Lite helps you create GST invoices, manage clients, record income and expenses, attach purchase bills, and view financial summaries. We provide tools to assist your bookkeeping and invoicing; we are not an accounting, tax, or legal advisory service.

Gullak Lite is a technology platform that facilitates bookkeeping and invoicing activities. Users remain solely responsible for the accuracy, completeness, and legal compliance of all invoices, records, returns, and filings generated or maintained through the platform. You are responsible for verifying that your invoices, tax calculations, GSTINs, and filings are correct and compliant with applicable law. We recommend you consult a qualified chartered accountant or tax professional.

5. Subscriptions, pricing & GST

Certain features are offered on a paid subscription basis. Subscription prices are displayed on our website and are exclusive of Goods and Services Tax (GST), which is charged additionally at the applicable rate (currently 18%). By subscribing, you authorise us and our payment processor to charge the applicable fees plus GST to your chosen payment method on a recurring basis until you cancel.

Subscriptions renew automatically at the end of each billing cycle (monthly or quarterly, as selected by you) unless cancelled before the renewal date. By subscribing, you authorise the recurring automatic charge for each successive billing cycle until you cancel. You may cancel at any time to stop future renewals.

We reserve the right to revise our fees and pricing at any time. Where fees are revised, we will provide reasonable prior notice, and the revised fees will apply from your next billing cycle following such notice.

Payments are processed by third-party payment processors (such as Razorpay). We do not store your full card or banking credentials. Your use of payment services is also subject to the payment processor's terms.

6. Refunds & cancellation

You may cancel your subscription at any time from your account settings or by contacting hello@purarama.com. Refunds are available only if requested within 48 hours of a subscription payment. After 48 hours, payments are non-refundable, and you will retain access to paid features until the end of your current billing period. We do not provide pro-rata refunds for partial periods after the 48-hour window.

All refunds are subject to our refund verification process. Any refund of GST shall be made only as and to the extent permissible under applicable law. Approved refunds will be processed to the original payment method.

7. Acceptable use

You agree not to:

• use the Service for any unlawful, fraudulent, or misleading purpose, including issuing false invoices;
• upload content that infringes others' rights or violates any law;
• attempt to gain unauthorised access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
• upload, transmit, or introduce any virus, malware, malicious code, or other harmful component into the Service;
• resell, sublicense, or commercially exploit the Service without our written consent.

8. Your data & content

You retain ownership of the data and content you enter into Gullak Lite. You grant us a limited licence to host, process, and display that data solely to provide the Service to you.

Processing of your Personal Data will be carried out in accordance with applicable data protection laws, including the Digital Personal Data Protection Act, 2023 and the rules framed thereunder. Our handling of personal data is described in our Privacy Policy.

9. Intellectual property

All rights, title, and interest in and to the Service, including software, designs, trademarks, logos, source code, and related intellectual property, are owned by Purarama Technologies Pvt Ltd or its licensors. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to users.

10. Service availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. We are not liable for losses arising from downtime, maintenance, or factors outside our reasonable control.

11. Limitation of liability

To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages, or for any loss of profits, data, or business, arising from your use of the Service.

Without limiting the foregoing, we shall not be liable for any loss or corruption of data, or for any loss, damage, or liability arising from third-party services, including payment processors, hosting providers, or other third-party integrations used in connection with the Service.

Our total liability for any claim relating to the Service shall not exceed the amount you paid us for the Service in the three (3) months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify, defend, and hold harmless Purarama Technologies Pvt Ltd, its directors, employees, and affiliates from and against any claims, losses, liabilities, penalties, damages, costs, and expenses arising out of:

• (i) your use of the Service;
• (ii) your breach of these Terms;
• (iii) your violation of applicable laws; or
• (iv) inaccurate invoices, tax records, or filings generated by you using the Service.

13. Force majeure

We shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including acts of God, natural disasters, cyberattacks, internet failures, governmental actions, strikes, pandemics, or failures of third-party service providers.

14. Electronic communication

You consent to receive communications, notices, invoices, and disclosures electronically through the Service or via email. Such communications shall satisfy any legal requirement that communications be in writing.

15. Suspension

We reserve the right to suspend or restrict access to the Service immediately if required by law, regulatory directions, suspected fraud, security concerns, or misuse of the Service.

16. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us, other users, or third parties. On termination, your right to use the Service ends; provisions that by their nature should survive (such as payment obligations, indemnity, and limitation of liability) will survive.

17. Governing law & disputes

These Terms are governed by the laws of India. Subject to applicable law, the courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes arising from these Terms or the Service.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.
